Talentive Job Portal Terms and License Agreement
This End User License Agreement (“Agreement”) governs your access to and use of the Talentive Inc. Job Portal (the “Portal”). By using the Portal, you agree to comply with and be bound by this Agreement. If you do not agree to these terms, do not use the Portal. Talentive Inc. reserves the right to modify this Agreement at any time, and your continued use of the Portal constitutes acceptance of any modifications.
1. Definitions
- • “Applicant”: An individual who submits an application through the Talentive Job Portal in response to a job posting.
- • “Employer”: A user or entity that creates and posts job opportunities on the Talentive Job Portal for the purpose of recruiting talent.
- • “Talentive Inc.”: Refers to Talentive Inc., the owner and operator of the Portal, and its subsidiaries and affiliates.
- • “User”: Any individual or entity accessing and using the Portal, including both applicants and employers.
2. Job Posting Eligibility
- • Talentive Inc. focuses on Information Technology (IT) and Technology-related job postings. All job postings must be directly related to the IT field. Talentive Inc. reserves the right to remove postings that do not meet this criterion. This eligibility requirement may change over time, and Talentive Inc. will provide notice of any changes to job posting eligibility.

4. Rights to Revoke or Suspend Access
- • Talentive Inc. reserves the right to suspend or terminate any Employer account or job posting at any time, for any reason, and without prior notice. Such reasons may include, but are not limited to, violations of this Agreement, inappropriate content, or any other behavior deemed harmful to Talentive Inc., its users, or the Portal’s integrity.
5. Applicant Ownership and Solicitation Rights
- • Free Tier: Employers using the free job posting tier have exclusive ownership over applicants for a period of 30 days following the date of the applicant’s submission. After 30 days, Talentive Inc. reserves the right to contact and solicit the applicant for other employment opportunities.
- • Paid Tier: Employers using a paid job posting tier have exclusive ownership over applicants for a period of 90 days following the date of the applicant’s submission. After 90 days, Talentive Inc. reserves the right to contact and solicit the applicant for other employment opportunities.
6. Compliance with Applicable Laws
- • By using the Portal, Users agree to comply with all applicable local, state, national, and international laws and regulations. Employers are solely responsible for ensuring that their job postings and hiring practices are in compliance with relevant employment laws and regulations.
7. User-Generated Content and Liability
- • Talentive Inc. is not responsible for any user-generated content, including job postings and messages exchanged between Employers and Applicants. Employers retain full responsibility for the accuracy and appropriateness of job postings. Talentive Inc. does not guarantee the truthfulness or accuracy of information provided by Users and does not conduct background checks on Applicants.
8. Privacy and Data Protection
- • Talentive Inc. respects Users’ privacy and complies with applicable data protection laws. By using the Portal, Users agree to the collection, processing, and storage of personal data in accordance with Talentive Inc.’s Privacy Policy, which may be updated periodically. Talentive Inc. does not guarantee the confidentiality of any communications or data shared through the Portal and recommends Users take appropriate measures to protect sensitive information.
9. Limitation of Liability
- • Talentive Inc. is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits or business interruption, arising out of or related to the use or inability to use the Portal. Talentive Inc.’s total liability for direct damages shall not exceed the fees paid by the Employer in the six months preceding the claim.
10. Indemnification
- • Users agree to indemnify and hold harmless Talentive Inc., its officers, employees, and affiliates, from any claims, liabilities, losses, or damages arising from or related to (i) User’s violation of this Agreement; (ii) User’s infringement of any intellectual property or other right of any person or entity; and (iii) User’s use of the Portal.
11. Modification and Termination
- • Talentive Inc. may modify or terminate the Portal or this Agreement at any time, with or without notice. Users agree that Talentive Inc. shall not be liable to them or any third party for any modification, suspension, or discontinuance of the Portal.
12. Governing Law and Dispute Resolution
- • This Agreement shall be governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be resolved exclusively in the courts located within Quebec.
Acceptance of Terms
By using the Talentive Inc. Job Portal, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
